Terms of Service — WORKING DRAFT v1

Welcome to Lucrum. These Terms of Service ("Terms") are an agreement between you and Santosha Digital US Ltd. ("Lucrum," "we," "us"), Miami Beach, Florida, and govern your use of the Lucrum mobile application, the Lucrum dashboard at app.lucrum.cash, and related services (together, the "Services"). By creating an account or using the Services, you agree to these Terms and to our License Agreement and Privacy Notice.

1. What Lucrum is (and isn't)

Lucrum is software that helps businesses manage their payment operations. Lucrum is not a bank, money transmitter, money services business, or financial institution, and does not hold customer funds. Specific financial services available through the Services are provided by licensed third parties as described in Section 4 and in our Disclosures.

2. Eligibility and your account

You must be at least 18 and able to form a binding contract. If you use the Services for a business, you represent you're authorized to bind that business. You're responsible for the accuracy of the information you provide and for all activity under your account. We may require identity or business verification through our verification providers before enabling certain features.

3. Your wallet — self-custody

Your Lucrum account includes, or can connect to, a self-custody digital wallet. You — and only you — control the keys to your wallet. Lucrum never takes custody of your digital assets and cannot access, freeze, or recover them. You are solely responsible for securing your device, your credentials, and any recovery methods. If you lose access to your wallet, Lucrum cannot restore your funds. Transactions on public blockchains are irreversible; verify amounts and recipients before confirming.

4. Services provided by partners

  • Card processing is provided by Stripe, Inc. and subject to Stripe's terms.
  • Banking rails and virtual accounts (send, receive, and hold via local rails such as ACH, SEPA, PIX, and SPEI, with stablecoin settlement) are provided by Bridge, a Stripe company, and subject to Bridge's terms. Availability varies by region.
  • Card issuance and certain features marked "coming soon" will be provided through licensed partner institutions where available, under separate terms presented at activation.
  • Token swaps are executed on public blockchain infrastructure with routing by third-party aggregators (e.g., Jupiter). Lucrum does not act as your counterparty, does not set prices, and does not hold your tokens before, during, or after a swap.

Your use of any partner-provided service is a direct relationship between you and that partner; Lucrum provides the software interface.

5. Fees

Applicable fees are shown in the app before you confirm a transaction. On-chain network fees and partner fees are set by the network or the relevant partner and may change. Fees are not refundable except where required by law.

6. Rewards

Lucrum may offer promotional rewards (such as LUC$ points) for using the Services. Rewards are promotional; they are not deposits, investments, or legal tender; they have no cash value except as expressly stated in the reward program terms in the app; and we may modify or discontinue reward programs at any time. 7. Launchpad

Lucrum Launchpad is governed by the separate Launchpad Terms. In brief: Launchpad provides software tools that let third-party businesses run token-based fundraising campaigns. Lucrum is not the issuer of any token offered on Launchpad and does not provide investment, legal, or tax advice. Launchpad availability is limited by region.

8. Acceptable use

You agree not to use the Services to violate any law or sanctions program; to process payments for prohibited or illegal goods or services; to infringe others' rights; to interfere with or reverse-engineer the Services; or to misrepresent your identity or business. We may suspend or terminate access to the software for violations. (Because your wallet is self-custodial, suspension of the software does not affect your control of your own assets.)

9. Taxes and records

You are responsible for determining and paying any taxes that apply to your business and transactions. The Services provide records as a convenience; you are responsible for their review and for your own compliance.

10. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied. Digital-asset prices are volatile; blockchain networks may be congested, forked, or unavailable; partner services may be interrupted. Nothing in the Services is investment, legal, accounting, or tax advice.

11. Limitation of liability

To the fullest extent permitted by law, Lucrum's total liability arising out of these Terms or the Services will not exceed the greater of (a) fees you paid to Lucrum in the twelve months before the claim, or (b) USD $100. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for losses caused by partner services, blockchain networks, or your loss of keys or credentials.

12. Changes; termination

We may update these Terms; material changes will be notified in the app or by email, and continued use constitutes acceptance. You may stop using the Services at any time. Sections that by their nature survive termination (including 3, 5, 9–13) survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction.
