Launchpad Terms — WORKING DRAFT v1

These Launchpad Terms supplement the Lucrum Terms of Service and govern Lucrum Launchpad. By using Launchpad — as a business raising funds ("Founder") or as a participant backing a campaign ("Backer") — you agree to these Terms.

1. What Launchpad is

Launchpad is a software platform where vetted businesses launch tokens and raise funds directly from their communities. Lucrum provides the tools — application and vetting workflows, token templates, smart-contract escrow, and dashboards. Lucrum is not the issuer of any token offered on Launchpad, is not a party to any campaign, is not a broker, exchange, or investment adviser, and does not provide investment, legal, or tax advice. Each campaign is offered by the Founder business, on the terms that campaign publishes.

2. Availability

Launchpad launches region by region. Access, and the ability to found or back any given campaign, depends on your location and the campaign's own eligibility rules, which are enforced in the product and stated on each campaign page. Attempting to circumvent regional restrictions is prohibited.

3. Founders

  • Vetting: every Founder applies and is reviewed before a campaign can go live — business identity, revenue, and plan. Approval is at Lucrum's discretion and can be withdrawn for cause.
  • Your campaign, your obligations: you choose a token template, set your terms (goal, allocation, what Backers receive), and are solely responsible for the accuracy of everything you publish and for delivering what your campaign promises. You are the issuer of your token.
  • Compliance: you are responsible for your campaign's compliance with the laws that apply to you and your Backers.

4. Backers

  • Your decision: backing a campaign is your decision, made on the campaign's published terms. Read them.
  • Risk: backing a business involves risk, including the total loss of what you contribute. Tokens may have no market, no value, and no buyer. Past revenue of a business is not a promise of future performance.
  • Eligibility: you must meet the eligibility rules shown on each campaign, which may depend on your region.

5. Escrow and release

Backer funds are held in smart-contract escrow on-chain — consistent with Lucrum's non-custodial architecture, neither Lucrum nor the Founder holds Backer funds during a campaign. Funds release to the Founder according to the campaign's published completion conditions; if a campaign does not complete, the smart contract returns funds to Backers per the campaign's published terms. The escrow contract addresses are published on each campaign page so anyone can verify them.

6. Fees

Applying is free. Lucrum charges a platform fee on completed campaigns, shown to Founders before launch, and network fees apply to on-chain transactions.

7. Prohibited campaigns

Campaigns may not involve illegal goods or services, misleading claims, or businesses that fail vetting. Lucrum may remove campaigns that violate these Terms.

8. Changes

We may update these Terms; material changes will be posted with a new effective date. Continued use of Launchpad constitutes acceptance.
